Terms of Service

1. Acceptance of Terms
These Terms of Service govern use of www.nvventure.com, enquiries submitted to N V VENTURE, proposals and quotations, remote IT support, digital marketing services and other approved professional services supplied by N V VENTURE.
A client accepts these Terms by accepting a proposal or quotation; signing or electronically accepting an agreement; completing a Remote Access Consent Agreement; approving work by email; paying an invoice that refers to these Terms; or permitting N V VENTURE to begin an approved service. A person accepting these Terms for a business confirms that the person has authority to bind that business.
2. Business-Only Services
N V VENTURE provides services to approved businesses and organizations. The client confirms that the service is being purchased for business purposes; the authorized representative is at least 18 years old and has authority to approve the service; the client lawfully controls the applicable devices, accounts, websites, systems and information; and the requested work is lawful.
Remote IT services offered through the website are not intended as residential consumer computer-repair services.
3. Services
Only services expressly included in an approved proposal, quotation, invoice or statement of work are included in an engagement.

4. Right to Accept, Refuse or Suspend Work
N V VENTURE may refuse, pause or discontinue work that is unlawful, fraudulent, deceptive, unsafe, outside available expertise, dependent on unauthorized access, subject to unagreed regulatory safeguards, inconsistent with third-party platform rules, abusive toward personnel or otherwise inconsistent with these Terms.
5. Proposals, Scope and Document Priority
The applicable proposal, quotation, statement of work or invoice may specify service scope, deliverables, client responsibilities, assumptions, fees, payment schedule, estimated timeline, revision limits, third-party costs and cancellation provisions. Work outside the approved scope may require written approval, a change request, additional fees, a revised timeline or additional remote-access consent.
Timelines are good-faith estimates unless expressly identified as guaranteed. If documents conflict, the following order normally applies:
- A separately signed service, managed-services or data-processing agreement.
- An approved statement of work or proposal.
- These Terms of Service.
- The Payment and Billing Terms.
- The Refund and Cancellation Policy.
- Other website policies.
6. Client Responsibilities
The client remains responsible for business decisions made after receiving recommendations from N V VENTURE.
- Provide accurate information and appoint an authorized representative.
- Provide timely access, content, instructions and approvals.
- Maintain appropriate, tested backups.
- Use properly licensed software and content.
- Protect passwords and authentication methods.
- Disclose regulated or highly sensitive data before access begins.
- Obtain required employee, contractor and customer permissions.
- Review deliverables and report concerns promptly.
- Follow reasonable security and technical recommendations.
- Pay agreed fees and approved costs.
- Avoid interfering with work in progress.
7. Backup Responsibility and Technical Risk
The client is responsible for maintaining current, tested and recoverable backups unless a separate written agreement expressly makes N V VENTURE responsible for backup services. Before technical work begins, the client should back up important files, verify that the backup is accessible, save open work and close unrelated confidential information.
Technical work may involve device restarts, temporary interruption, changed settings, software incompatibility, loss of unsupported configurations, licensing issues, discovery of malware or pre-existing damage, and data loss where a usable backup is unavailable.
8. Remote Access
Remote access will begin only after the client and authorized representative have been reasonably verified, the service requirement has been confirmed, applicable pricing has been disclosed and approved, and the Remote Access Consent Agreement has been accepted.
For attended remote support, the client may observe the session, ask questions and stop the session at any time. Remote access ends when the connection is closed. Permanent or unattended remote access requires separate written authorization and an appropriate ongoing-services agreement.
9. No Banking Access and Credential Safety
N V VENTURE does not require access to a client's online bank account for ordinary IT support and will not ask a client to disclose an online banking password, payment-card PIN or one-time banking authentication code; purchase gift cards; transfer cryptocurrency as a condition of ordinary support; or conceal a support session from a bank, employer, colleague, payment provider or authority.
Clients should enter passwords and authentication codes directly whenever reasonably possible. Temporary credentials must be limited to the approved work, changed or revoked after use, not reused as personal passwords and no broader than reasonably necessary.
10. Restricted Information and Acceptable Use
Unless accepted under a separate written agreement, standard services are not designed for healthcare-regulated information, specialized payment-card environments, regulated banking systems, government-classified information, criminal-justice databases, children's information, large biometric databases or highly sensitive identity-document repositories.
The client must not request or use services to access systems without authority, steal credentials or information, install malware or spyware, conduct unauthorized surveillance, circumvent lawful security controls, harass or defraud, send unlawful unsolicited communications, infringe intellectual-property rights, manipulate reviews, impersonate others, conceal unlawful activity, publish knowingly deceptive content, violate sanctions or export restrictions, or breach advertising, marketplace or platform rules.
11. Third-Party Products, Services and Brand Independence
Services may depend on third-party software, hardware, hosting, domains, remote-support tools, payment providers, advertising platforms, search engines, social-media platforms, cloud providers and communication platforms. N V VENTURE does not control their availability, security, pricing, licensing, updates, approval decisions, algorithms, account suspension, policies or defects. Third-party costs are the client's responsibility unless expressly included in writing.
N V VENTURE is an independent service provider. References to Microsoft, Apple, Google, Meta, HP, Dell, Lenovo, Canon, Brother, Epson or another company do not imply affiliation, authorization, sponsorship or endorsement unless expressly stated.
12. Digital Marketing Limitations
N V VENTURE will perform approved marketing services with reasonable care. Results depend on factors outside N V VENTURE's control, including competition, budget, website quality, market demand, offers, client response time, sales capability, platform policies, algorithms, tracking restrictions, economic conditions and seasonality.
N V VENTURE does not guarantee search rankings, advertisement approval, a specific number of leads, a specific cost per lead, website traffic, revenue, profit, sales, social-media reach or marketplace approval. Advertising spend paid to a third-party platform is separate from N V VENTURE's management fee unless expressly stated otherwise.
13. Client Content and Claims
The client confirms that it owns or is authorized to use all text, images, videos, trademarks, mailing lists, databases, testimonials, product claims, service claims and other materials supplied to N V VENTURE. The client is responsible for their accuracy, legality, required disclosures, permissions and marketing-list consent. N V VENTURE may reject material that appears unlawful, deceptive, infringing or unsafe.
14. Fees, Confidentiality and Data Processing
Fees are governed by the approved proposal or quotation, applicable invoice, and Payment and Billing Terms. Unless otherwise stated, fees exclude applicable taxes and third-party expenses; a deposit or advance may be required; work may be paused while payment is overdue; and unpublished deliverables may be withheld until payment is received.
Each party will use the other party's confidential information only for the engagement, restrict access to persons who reasonably require it, apply reasonable protection and avoid unauthorized disclosure. Information that is lawfully public, already lawfully known, independently developed or lawfully received without confidentiality restrictions is not confidential information.
Personal information is handled under the Privacy Policy and any applicable Data Processing Addendum. When N V VENTURE processes information on a client's instructions, the client determines the permitted business purpose and remains responsible for required notices and permissions.
15. Intellectual Property
Each party retains ownership of intellectual property owned before the engagement. Unless an approved proposal states otherwise, the client retains ownership of its business information and original content; N V VENTURE retains ownership of its methods, processes, templates, tools and pre-existing materials; ownership of custom final deliverables transfers only after full payment; third-party and open-source materials remain subject to their original licenses; and drafts, rejected concepts and internal working files remain the property of N V VENTURE.
16. Service Standard, Disclaimer and Liability
N V VENTURE will perform approved services with reasonable skill and care. A client that believes an agreed deliverable materially fails to match the written scope must notify N V VENTURE promptly and provide sufficient details. Where reasonably possible, the first remedy will be correction or reperformance.
Correction or reperformance obligations do not apply to problems caused by client or third-party modifications, unsupported hardware or software, pre-existing damage or malware, work outside the approved scope, failure to follow recommendations, loss of third-party approval or platform access, client delay or incorrect instructions.
Except for express written commitments, services are provided on an as-available basis. To the maximum extent permitted by law, N V VENTURE does not provide implied guarantees of merchantability, fitness for a particular purpose, uninterrupted availability, error-free operation, complete security, permanent fault resolution or specific business or marketing results.
To the maximum extent permitted by law, N V VENTURE will not be responsible for indirect or consequential loss, loss of profit or revenue, loss of business opportunity or goodwill, third-party platform failure, data loss where appropriate backups were not maintained, pre-existing malware or weaknesses, unauthorized or incorrect client instructions, or downtime outside an agreed service commitment.
N V VENTURE's total aggregate liability relating to an affected service will not exceed the amount paid for the relevant one-time service or the fees paid for the affected recurring service during the three months immediately preceding the event giving rise to the claim. Nothing excludes liability that cannot legally be excluded.
17. Client Indemnity
To the extent permitted by law, the client will indemnify N V VENTURE against third-party claims arising from unlawful client instructions, unauthorized access requested by the client, infringing client content, failure to obtain required permission, misleading claims supplied by the client, client misuse of deliverables or a material breach of these Terms.
18. Suspension and Termination
N V VENTURE may suspend services where payment is overdue, consent is missing, authority cannot be verified, continuing work presents a security risk, instructions appear unlawful, the client materially breaches an agreement or behaves abusively, or a necessary third-party service becomes unavailable.
Either party may terminate a one-time engagement under the approved proposal and Refund and Cancellation Policy. If no other notice period is stated, recurring services may be terminated with 30 calendar days' written notice.
Termination does not remove the client's obligation to pay for completed work, approved work in progress, non-refundable reserved capacity, third-party commitments, advertising spend, approved expenses or necessary closure and handover work.
19. Force Majeure and Electronic Acceptance
Neither party will be responsible for delay caused by events outside reasonable control, including widespread internet or power failure, natural disaster, war, civil disturbance, government action, major cyberattack, platform outage, telecommunications failure or labor disruption. This does not excuse payment for work already completed.
Electronic acceptance may include selecting an acceptance checkbox, submitting a consent form, signing electronically, approving by email, paying an invoice connected to an approved scope or allowing approved work to begin after receiving these Terms. N V VENTURE may retain timestamps, IP addresses, policy versions, email confirmations and related records as evidence of acceptance.
20. Governing Law, Changes and Contact
These Terms are governed by the laws of India. The parties will first attempt to resolve disputes through good-faith written communication. Where a dispute cannot be resolved informally, the courts having jurisdiction in Ghaziabad, Uttar Pradesh, India will have jurisdiction, except where applicable law requires otherwise.
N V VENTURE may update these Terms for future services. Changes will not retroactively alter an existing separately signed agreement unless both parties agree.
